Ontario Armwrestling Association Constitution

ARTICLE I: NAME
The name of the organization shall be the ONTARIO ARMWRESTLING ASSOCIATION, hereinafter referred to as the OAA.
ARTICLE II: PURPOSE
Section 1
The business purpose of the OAA is to oversee organization, promotion and refereeing of the sport of armwrestling in Ontario.
Section 2
Setting out guidelines for armwrestling within the regions of the province of Ontario.
Section 3
Establishing a method of funding for the OAA.
Section 4
Establishing that all rules and regulations are being maintained by all governed bodies of the OAA.
Section 5
Maintaining a close contact with the Canadian Armwrestling Federation (CAWF) and coordinating communication with the National Federation.
Section 6
Collecting and forwarding membership fees for the OAA and the CAWF.
ARTICLE III: MEMBERSHIP
Section 1
The OAA shall have members who may be individuals, firms, associations, groups, institutions, businesses, and other like agencies. There shall be one class of member.
Section 2
Membership can be secured by demonstrating interest in the aims of the OAA through applying for membership and paying prescribed fees. Membership fee paid entitles holder to voting privilege at Annual Meeting.
Section 3
Membership fees are determined by the Executive and may be paid at any circuit sanctioned armwrestling event or national meeting.
Section 4
Any member of the OAA may withdraw from the OAA by notice to the OAA, but upon such withdrawal the member shall not be entitled to a refund of any portion of the fees that has been paid.
Section 5
The Executive, upon a (2/3) two-thirds vote of the persons present at the meeting of the Executive, may suspend or expel any member whose conduct is such as to bring discredit to the OAA. No member shall be suspended or expelled unless given a 30 day notice in writing of the meeting of the Executive with a statement of the nature of the complaint filed against them. The person complained against shall have the privilege to attend the meeting and to be heard by the Executive. If, after hearing the person complained against, (2/3) two-thirds of the Executive vote for expulsion the member shall be expelled and thereupon will cease to be a member of the OAA.
ARTICLE IV: THE EXECUTIVE
Section 1
The supervision and control of the OAA shall reside in the hands of the Executive.
Section 2
The Executive shall be composed of (5) five officers.
Section 3
Any vacancy in the Executive shall be filled by appointment for the balance of the term by the Executive.
Section 4
The office of a member of the Executive shall be vacated if: a) the person ceases to be a member of the OAA or b) by notice in writing to the OAA, person resigns from post.
Section 5
The Directors shall serve without remuneration.
ARTICLE V: DUTIES OF THE EXECUTIVE
Section 1
The supervision and control of the OAA shall be managed by the Executive.
Section 2
The Executive shall be solely responsible for the securing, controlling and accounting of the finances of the OAA.
Section 3
The Executive shall be solely responsible for proper recognition of those who excel in the sport of Armwrestling or in the promotion of the OAA.
ARTICLE VI: OFFICERS
Section 1
The officers of the OAA shall consist of the President, Vice-President, Secretary-Treasurer, Referee-in-Chief, and Director of Communications.
Section 2
With the exception of the Director of Communications, the officers shall be elected by the members from among the members at the annual general meeting. The Director of Communications is an appointed position, and this officer is appointed by the newly-formed Executive.
Section 3
The officers shall be elected for a term of (2) two years.
Section 4
The President shall be a non-voting member of the Executive, but will cast a deciding vote in the event of a tie. The President shall render a written report at the Annual Meeting on the activities of the organization.
Section 5
The Vice-President shall perform all of the duties of the President in his/her absence as required.
Section 6
The Secretary-Treasurer shall be responsible to see that full and accurate accounts for the receipts and disbursements of the OAA are maintained, will tender a written report at each meeting and present and annual financial report at the Annual Meeting. He/she shall also maintain minutes of each meeting, carry on general correspondence of the OAA, and issue notices of all general meetings.
ARTICLE VII: ANNUAL GENERAL MEETING
Section 1
The Annual General Meeting shall be held the day of the Provincial Championships.
Section 2
Notice of the Annual General Meeting shall be posted online at the same time as the announcement of the Provincials.
Section 3
At every Annual General Meeting, there shall be presented a report of the President, report of the Treasurer, along with the presentation of an annual financial statement.
Section 4
The election of officers who are chosen by election shall take place at the Annual General Meeting.
Section 5
Voting shall be a show of hands except where a ballot is requested by at least (5) five members. All votes shall be a majority.
ARTICLE VIII: SPECIAL MEETINGS
Meetings of the members of the OAA other than the Annual General Meeting shall be known as Special Meetings.
ARTICLE IX: CUSTODY AND USE OF OAA LOGO
THE LOGO: Section 1
The OAA shall adopt the same logo as the CAWF except replacing the words "Canadian Armwrestling Federation" with "Ontario Armwrestling Association". The use of this logo or any reproduction can only be done by the written request to the OAA and by return permission from the OAA. The logo is to appear on all OAA literature and letterheads.
ARTICLE X: SIGNING AUTHORITY
Any (2) two of the following may be authorized to draw and sign cheques, bills of exchange and other negotiable instruments: President, Vice-President, Secretary-Treasurer.
ARTICLE XI: AUDITS
The accounts of the OAA may be audited by an auditor appointed at the Annual General Meeting of the OAA.
